Influencers Terms of Service
Effective as of July 1, 2026
IMPORTANT NOTICE:
THE INFLUENCER EXPRESSLY ACKNOWLEDGES HAVING READ THESE TERMS OF SERVICE AND ACCEPTING THEM WITHOUT RESERVATION PRIOR TO REGISTERING ON THE PLATFORM.
ANY COMMENCEMENT OF SERVICE EXECUTION OR PROVISIONING BY ROCKET MARKETING WITH THE INFLUENCER'S CONSENT AUTOMATICALLY IMPLIES UNRESERVED ACCEPTANCE OF THESE TERMS.
ARTICLE 1. Definitions
- Brief: The document drawn up by the Company and/or its Client outlining the guidelines for Influencers (brand tone, editorial calendar, themes, target audience messages, etc.).
- Client: Any individual or legal entity purchasing services from the Company to promote products, services, or brands through Influencers (also referred to as "Advertiser", "Agency", or "Brand").
- Access Code: The personal credentials (login and password) allowing the Influencer to access their Account.
- Influencer Account: The dedicated account created upon platform registration.
- Influencer ToS: These Terms of Service detailing the rights and obligations of the Company and Influencers.
- Special Conditions: Specific terms complementing the ToS for dedicated Campaigns/Deals. In case of conflict, Special Conditions prevail.
- Deal: The binding agreement between the Company and the Influencer subject to these ToS and any Special Conditions.
- Intellectual Property Rights: All patents, trademarks, copyrights, database rights, trade secrets, designs, and associated proprietary rights.
- Influencer: Any individual or legal entity registered on the Platform leveraging online influence, or their authorized independent representative (agents, managers, agencies, etc.).
- Deliverables: Any intellectual creation (videos, photos, stories, posts, reports, raw footage, draft versions, etc.) produced by the Influencer under a Deal. Unsolicited content does not count as Deliverables.
- Offer: A proposal sent to one or several Influencers to perform Services. It becomes a Deal upon Influencer acceptance.
- Parties: Refers jointly to the Company and the Influencer.
- Platform: The SaaS software hosted by the Company enabling campaign automation, profile matching, communication tracking, and secure payments.
- Services: All features and functions provided by the Platform.
- Site: The website accessible at
[www.reech.com](https://www.reech.com). - Company: ROCKET MARKETING (REECH), SAS with a capital of €305,641.38, registered under RCS Bobigny n° 791 012 131, headquartered at 3 rue Henri Rol-Tanguy, 93100 Montreuil, France.
ARTICLE 2. Scope & Purpose
These ToS govern Platform access and the execution of Influencer Services. They supersede any conflicting terms, prior agreements, or Influencer sales conditions. Acceptance occurs upon Platform registration, Offer validation, or signature of a referencing contract.
ARTICLE 3. Registration & Platform Usage
3.1 Access Conditions
Internet access and hardware costs are entirely the Influencer's responsibility. The Company is not liable for technical disruptions, telecom outages, or receiver equipment failures. The Company may modify or temporarily suspend the Platform for maintenance without notice or compensation.
3.2 Registration
- Open to adults and legal entities.
- Minors: Require parental/legal guardian authorization. Minors under 16 require joint consent of parental authority holders under GDPR/French law. Parents/guardians remain strictly liable for minor actions.
- Registration acceptance is at the Company's sole discretion.
- Credentials must remain strictly confidential.
3.3 Scope Limits
Platform registration does not guarantee a minimum volume of Offers, Deals, or exclusivity.
3.4 Usage Rules
Influencers must act in good faith, comply with applicable laws, and agree NOT to:
- Provide false/outdated info or infringe on third-party names/trademarks.
- Hack, inject malware, or attempt unauthorized account access.
- Solicit inappropriate relationships or bypass Platform commercial purposes.
- Scrape data for competitive or commercial purposes.
- Disparage the Platform or Company services.
The Company may verify profile data, demand identity/status verification, and suspend or close accounts violating these terms.
ARTICLE 4. Duration & Termination
- Duration: Indefinite from account creation.
- Voluntary Unsubscription: The Influencer can request account deletion at any time via email (processed within 30 days). Warning: Unsubscribing forfeits any remaining uncollected Platform account credits. Active Deals must still be completed.
- Account Closure by Company: The Company may terminate accounts immediately for ToS breaches, legal violations, or Client harm. If closed, the Influencer has 45 days to withdraw earned fees.
ARTICLE 5. Platform Services & Deal Management
5.1 Offer & Deal Mechanics
- Non-Exclusive: Offers confer no exclusivity unless explicitly agreed upon.
- Acceptance: Clicking "Accept Offer" constitutes a legally binding Deal under these ToS and Special Conditions.
- Review & Acceptance Period: Upon Deliverable submission, the Company has 15 calendar days to accept, accept with reservations, or reject. Silence after 10 calendar days equals rejection. Corrections for reserved approvals must be completed within 2 calendar days. Standard approval allows up to 3 review rounds if the Brief is respected.
- Modifications/Cancellations: The Company may request adjustments or cancel Deals due to Client requests or Force Majeure.
5.2 & 5.3 Maintenance & Support
Support is accessible on the Platform or via support-fr@reech.com (aiming for a 5-calendar-day response time).
ARTICLE 6. Obligations & Guarantees
6.1 Influencer Obligations
- Legal Status & Taxes: Influencers guarantee full legal capacity and compliance with all tax and social security obligations.
- Performance: Must execute Deals diligently, meet deadlines, follow Brief instructions, and submit performance stats (screenshots) within 2 weeks of post publication. Invoices will not be paid without performance stats.
- Exclusivity & Loyalty: Must not post conflicting/competing sponsored content during the Deal. Disparaging the Company, Client, or Brand is strictly prohibited.
- Non-Solicitation: Influencers cannot directly solicit the Company's Clients for extensions or similar work during the Deal and for 6 months post-term.
- Disclosure & Regulatory Compliance: Sponsored posts MUST be clearly identified per ARPP/French regulations using native tools or hashtags (
#sponsorisé,#ad,#collaboration, etc.) visible before description drop-downs. Received products must be declared. - Content Preservation: Posts must remain live and unmodified for at least 1 year from publication.
- Paid Amplification Access: If stipulated, Influencers must grant access for ad amplification. Failure to do so incurs a 30% fee penalty.
6.2 Company Obligations
Provide reliable SaaS features, define clear campaign guidelines, and promote the Platform (Influencers grant permission to showcase their social profiles for matching/promotional purposes).
ARTICLE 7. Compensation & Payment
- Modalities: Compensation can be in-kind (products/gifting) or financial (fixed/variable fee).
- Credit System: Financial compensation is issued as Platform credits (€1 credit = €1).
- Payouts: Influencers must request cashouts via the Platform. Payouts require generating an auto-invoice via a built-in billing mandate. Influencers remain responsible for their VAT status.
- Verification: The Company reserves the right to hold credits/payouts for manual or automated fraud checks.
ARTICLE 8. Intellectual Property & Image Rights
8.1 Company IP
The Site, Platform, software, and "REECH" trademarks remain the exclusive property of Rocket Marketing.
8.2 Rights Assignment (Deliverables)
- Scope: Influencers assign exclusive IP rights (reproduction, representation, translation) to the Company, with full sub-licensing rights to the Client.
- Duration & Territory: Valid for 1 year for France (without geo-blocking). Includes commercial, PR, and digital uses.
- Social Media Archiving: Brand accounts do not need to delete historical organic feed posts after the 1-year term, provided they are not re-promoted/re-boosted.
- Guarantees: Influencers guarantee content originality and hold the Company harmless against third-party copyright, privacy, or defamation claims.
8.3 Personality & Image Rights
- In Deliverables: Influencers authorize the Company and Client to use their image, voice, name, and persona in Deliverables worldwide for 5 years (and indefinitely for internal agency archives).
- Case Studies & Agency References: Influencers grant Rocket Marketing explicit permission to use Deliverables, name, persona, and social handles for case studies, website portfolios, agency social media, and sales presentations for 10 years worldwide.
ARTICLE 9. Liability
- Standard common law liability applies. Influencers indemnify the Company against third-party claims resulting from non-compliant Deliverables.
- Company liability is strictly limited to direct damages and capped at the net compensation agreed upon in the Deal (except in cases of gross negligence or willful misconduct).
ARTICLE 10. Data Protection (GDPR)
- Rocket Marketing processes personal data as Data Controller for account management, marketing, and campaign execution.
- Data is stored on servers in France/EU (or under valid international transfer frameworks).
- Data subject rights (access, rectification, deletion, portability) can be exercised by contacting the Data Protection Officer at
ROCKET MARKETING, 3 rue Henri Rol-Tanguy, 93100 Montreuil, Franceor via CNIL.
ARTICLE 11. Confidentiality
Campaign details, pricing, analytics, and Client secrets are strictly confidential. Influencers must not disclose this information to third parties during the agreement and for 2 years post-termination.
ARTICLE 12. General Provisions
- Force Majeure: Suspends contractual obligations for up to 3 months, after which Deals may be terminated without liability.
- Subcontracting & Assignment: The Company may freely subcontract or assign its Platform rights. Influencers cannot assign Deals (intuitu personae).
- Independent Contractor Status: No employment, agency, or partnership relationship is created. Influencers operate with total management independence and must respect child influencer protection laws (Decree n° 2022-727 where applicable).
- Proof Agreement: Electronic signatures, timestamps, log files, and Platform action confirmations ("Accept", "Confirm") hold binding legal weight in court.
- Governing Law & Jurisdiction: Governed by French Law. Unresolved disputes fall under the exclusive jurisdiction of the Commercial Court of Paris (Tribunal de Commerce de Paris).
